Event Registration Terms and Conditions

The following terms and conditions (the “Terms”) govern your participation in and reservation of tickets to the Procore Technologies Inc. (“Procore”) event known as Connect Series(“Event”). Please read these Terms carefully before participating in the Event.

  • Procore Right of Refusal. Procore reserves the right to refuse admission to, or eject, any person who does not comply with these Terms or whose conduct management is deemed disorderly or offensive, who uses vulgar or abusive language, or who seeks access to the Event for competitive analysis or for any other purpose that may be to Procore’s detriment or commercial disadvantage. A ticket is a revocable license and admission may be refused for any reason.

  • Transfer of Tickets. You may transfer your ticket to another party by notifying Procore of the transfer at [email protected] before 11:59 p.m. U.S. Pacific Time on September 12, 2019, subject to these Terms, including the Procore Right of Refusal. If you receive a transferred ticket, you must remain registered for the same sessions registered by the ticket transferor. Unlawful resale (or attempted resale), counterfeit, or copying of tickets is grounds for seizure and cancellation without compensation. You may not resell or transfer a ticket in the course of business. Tickets cannot be transferred to any future event as a credit or ticket for admission. Tickets are not redeemable for cash.

  • Event Content. Any and all aspects of the Event, including the program, content, products, merchandise, offerings, and prizes, are subject to change if Procore deems necessary. Procore reserves the right in its absolute discretion to amend these Terms. Your reservation of a ticket or attendance at the Event constitutes acceptance of these Terms as amended from time to time. Ownership or possession of a ticket does not confer any rights (by implication or otherwise) on you to use, alter, copy, or otherwise deal with any of the symbols, trademarks, logos, or intellectual property appearing on the ticket.

  • Image Rights. By attending the Event, you grant Procore, and its agents and employees, permission to use your image, likeness, name, voice, performance, testimonial, and biographical materials (your “Image Rights”) in any photographs, video, and/or audio taken (“Footage”). The Footage may be used for promotional, advertising, marketing, educational, and any other purposes, in any media now known or hereafter developed, in perpetuity, including, for example, public service announcements, grant applications, video documentaries, and printed and online newsletters. You release and agree to indemnify and hold harmless Procore, and its agents and employees (including any firm publishing and/or distributing the Footage in whole or in part) from any claim, damages, or liability related to the use of the Footage.

  • Confidentiality. You agree that you will hold in strictest confidence and will not disclose to any third party, any of Procore’s Confidential Information. The term “Confidential Information” means all non-public information, whether business or technical in nature, that Procore designates as being confidential, or which under the circumstances of disclosure ought to be treated as confidential, including the content and presentations seen at the Event, information concerning business methods, pricing, business plans, new product launches, customer and vendor information, internal policies and procedures, and other financial information. Information will not be deemed confidential if it: (i) was known to you, and was acquired through proper methods, prior to its receipt from Procore, as evidenced by your written records; (ii) is now or, through no act or failure on your part, later becomes generally known through no breach of these Terms; or (iii) is supplied to you by a third party that is free to make that disclosure without restriction.

  • Liability. Neither Procore, nor any Event sponsor, is responsible or liable to you or anyone else for, and you hereby knowingly and expressly waive all rights to seek direct, indirect, incidental, special, or consequential damages of any type other than out-of-pocket expenses, and any rights to have damages multiplied or otherwise increased, arising out of or in connection with the Event, the content of the Event, or any travel to or from the Event, even if Procore has been advised of the possibility of such damages, and regardless of whether the claim is based upon any contract, tort, or other legal or equitable theory. Without limiting the foregoing, you expressly acknowledge and agree that Procore and the Event sponsors will have no liability or responsibility whatsoever for (a) personal injury or property damage, of any nature whatsoever, whether arising in contract or tort, resulting from your access to and attendance at the Event; (b) any errors, mistakes, inaccuracies, or omissions in any content; or (c) any lost, stolen, or damaged tickets. The limitations in this section will apply even if any limited remedy fails of its essential purpose. The allocation of risk between you and Procore is an essential element of the basis of the bargain between us. Procore’s aggregate liability arising out of these terms, your reservation of a ticket, and your attendance at the Event will not exceed one hundred U.S. dollars ($100). Some jurisdictions do not allow the exclusion or limitation of damages, so these may not apply to you. In such cases, Procore’s liability will be limited to the fullest extent permitted by applicable law. In no event will attorneys’ fees be awarded or recoverable.

  • Cancellation. Procore may cancel or postpone the event at any time. If Procore cancels or postpones the Event, Procore will not be liable for travel or any other expenses that you or anyone else incurs in connection with a cancellation or postponement of the Event.

  • Privacy. By reserving a ticket and providing your information to Procore, you consent to Procore sharing your information with any Event sponsors. Procore’s use of your information is governed by Procore’s Privacy Police, available at https://www.procore.com/fine-print/privacy-policy, which may be amended from time to time in Procore’s sole discretion.
